1. Acceptance of Terms

By accessing and using the LeanIT website (www.leanit.je) or engaging our IT services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services.

2. About Us

LeanIT is an IT services company based in St Helier, Jersey, Channel Islands. We provide IT support, Microsoft 365 services, cybersecurity, cloud solutions, and AI services to businesses across Jersey and the wider Channel Islands.

3. Services

The specific services we provide to each client are defined in individual service agreements or statements of work. These Terms of Service apply in addition to any specific service agreement between LeanIT and the client.

Our services may include, but are not limited to:

  • IT support and helpdesk services
  • Managed IT services and proactive monitoring
  • Microsoft 365 migration, setup, and management
  • Cybersecurity audits and Cyber Essentials certification support
  • Cloud migration and Azure hosting
  • AI and automation consulting

4. Client Responsibilities

As a client of LeanIT, you agree to:

  • Provide accurate and complete information necessary for us to deliver services
  • Maintain the security of your own credentials, passwords, and access details
  • Notify us promptly of any security incidents, system changes, or issues that may affect service delivery
  • Ensure you have the appropriate licences and permissions for any software or systems we are asked to manage
  • Use our services in compliance with all applicable laws and regulations

5. Website Use

You may use our website for lawful purposes only. You must not:

  • Use the website in any way that breaches applicable local, national, or international law
  • Attempt to gain unauthorised access to any part of the website, server, or connected systems
  • Transmit any harmful code, viruses, or malicious software
  • Reproduce, duplicate, or resell any part of the website without our express written permission

6. Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of LeanIT or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written consent.

Any tools, scripts, or configurations created by LeanIT specifically for a client during service delivery remain the intellectual property of LeanIT unless explicitly agreed otherwise in writing.

7. Payment Terms

Payment terms for our services are set out in individual service agreements. Unless otherwise agreed:

  • Invoices are issued monthly in advance for managed services
  • Payment is due within 14 days of invoice date
  • Late payments may incur interest at the rate permitted under Jersey law
  • We reserve the right to suspend services for accounts with outstanding balances exceeding 30 days

8. Limitation of Liability

To the fullest extent permitted by Jersey law:

  • LeanIT shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website
  • Our total liability for any claim arising from our services shall not exceed the total fees paid by you to LeanIT in the 12 months preceding the claim
  • We are not liable for any loss of data, revenue, or business opportunity resulting from circumstances beyond our reasonable control, including but not limited to third-party service failures, cyberattacks, or force majeure events

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Jersey law.

9. Service Level Agreements

Specific response times, uptime guarantees, and service levels are defined in individual service agreements. Where no specific SLA is in place, we will use reasonable endeavours to respond to support requests within 1 business hour for critical issues and 4 business hours for standard requests.

10. Termination

Either party may terminate a service agreement by providing written notice as specified in the relevant agreement. In the absence of specific terms:

  • Either party may terminate with 30 days' written notice
  • We may terminate immediately if you breach these terms or your service agreement
  • Upon termination, we will assist with a reasonable transition period to ensure continuity of your IT operations

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of service delivery. This obligation survives termination of the service agreement.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Jersey, Channel Islands. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the Royal Court of Jersey.

13. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after any changes constitutes acceptance of the updated terms.
